Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the OpSystem platform ("Service") operated by Experienced Results LLC ("we," "us," or "our"), a Mississippi limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

OpSystem is AI for business. The Service provides client management, project and job tracking, invoicing, scheduling, automation, and communication tools through a conversational AI interface. The Service includes a web application, AI chat assistant, automation bots, and optional integrations with third-party services.

3. Accounts and Access

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Each subscription provides access to one isolated vault. You may invite team members up to the limit of your plan tier. You are responsible for the actions of all users you invite to your vault.

4. Subscription and Payment

The Service is offered on a subscription basis at the pricing tier selected during signup. Subscription fees are billed monthly or annually in advance via Stripe. All fees are non-refundable except as required by law.

We may change pricing with 30 days' notice. Price changes apply at your next billing cycle. If you do not agree to a price change, you may cancel before the change takes effect.

Failed payments will be retried up to 3 times over 7 days. If payment fails after all retries, you will have a 14-day grace period before features are reduced. We will never lock you out of your data.

5. Your Data

You retain full ownership of all data you input into the Service. We do not claim any intellectual property rights over your content.

Your data is stored in an isolated vault that is not accessible to other customers. We use your data solely to provide the Service to you.

You may export your complete vault data at any time as a ZIP archive. Upon cancellation, we will retain your data for 30 days, after which it will be permanently deleted unless you request an export.

6. AI Usage

The Service uses Claude, developed by Anthropic, to process your requests. Your data is sent to Anthropic's API solely to generate responses within the Service. Anthropic does not use your data to train their models.

AI-generated content is provided as-is. You are responsible for reviewing and verifying any AI outputs before acting on them, particularly for financial calculations, legal obligations, and client communications.

7. Acceptable Use

You may not use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to other vaults or systems
• Send unsolicited communications in violation of CAN-SPAM or TCPA
• Store or process data that violates export control regulations
• Resell access to the Service without our written consent

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

10. Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access through the end of your current billing period. We will provide a full vault export upon request. After the 30-day retention period, your data will be permanently deleted.

11. Changes to Terms

We may update these Terms with 30 days' notice via email. Continued use of the Service after the effective date constitutes acceptance. If you disagree with material changes, you may cancel your subscription.

12. Governing Law

These Terms are governed by the laws of the State of Mississippi. Any disputes shall be resolved in the courts of Jackson County, Mississippi.
